1. Provider and scope
Ministry Workroom's account service is provided by Carlo Orlando Leadership LLC, a limited liability company formed in New Jersey with its principal place of business in New Jersey. These Terms cover the shared account service at app.ministryworkroom.com and subscriptions purchased through its billing service when that service is available. Contact Carlo@carloorlando.com for account, billing or privacy questions.
The shared account service supports sign-in, church workspaces, memberships and roles, access to connected apps, account settings, export and deletion requests. Connected apps maintain their own product data and may have product-specific terms, eligibility rules and privacy notices. These Terms do not replace the terms for the marketing website or separately sold resources, and do not create access to a connected app merely because someone has a Suite account.
2. Eligibility and your account
You must be 18 or older to create a Suite account and must use an email address you control. Launch sales are limited to customers in the United States, including churches, businesses and individual adults. This sales limit is not a citizenship rule and does not remove an existing person's access to privacy remedies. People participating in a connected app without a Suite account remain subject to that app's participation rules and safeguards.
You are responsible for protecting your sign-in methods and using your account within the permissions you actually hold. An account does not itself confer church membership, an owner or administrator role, permission to see private feedback, or another person's participation consent. Do not share or misuse sign-in links, codes, invitations or another person's session.
Church owners and administrators can manage people, roles and app access within the controls provided. Removing access, leaving a church, deleting an account and cancelling paid billing are different actions; one does not automatically perform the others.
3. Accepting these Terms and acknowledging Privacy
When the account-admission flow is enabled, before creating a new Suite account, including an invited private account, or before a covered transition from preview to public or paid use, we present the current Terms and Privacy Notice with separate clickable links and one required checkbox that is initially unchecked:
I am 18 or older, agree to the Terms, and acknowledge the Privacy Notice.
We record the exact document identities, the acceptance wording, the server-recorded time and the relevant account context. A current receipt can be reused for the covered account context; the same unchanged documents do not require repeated acceptance. A changed document version or identity may require a new deliberate acceptance before a covered future transition.
Acknowledging the Privacy Notice is not blanket consent to every possible use of information. This acceptance does not include optional marketing permission, app participant consent, church membership, additional app access or unrelated permissions. Agreeing to account terms also does not by itself authorize a payment: a purchase requires a separate affirmative checkout confirmation of the disclosed transaction.
Account recovery, export, verified deletion requests, cancellation and other available privacy or billing remedies are not conditioned on accepting changed Terms merely to exercise those remedies. Existing authentication, ownership and billing safeguards still apply.
4. Permitted use and access protection
Use the service lawfully and within the permissions of your account and church workspace. Do not impersonate another person, bypass access controls, misuse invitations, interfere with the service, or use connected-app information outside the access and purposes allowed for that app.
Access may be limited, suspended or removed to protect accounts, church workspaces, other people or the service. Such an access action does not by itself cancel a paid subscription, forgive an amount properly owed, or decide a person's statutory or privacy rights. Contact support if an access or payment result is uncertain.
5. Connected apps and separate permissions
A sign-in handoff passes limited identity and access information to the connected app involved. It does not grant broader rights than the approved integration and the person's current role or entitlement allow. Each app controls its own product data and participant flow. Access to an existing private church or workshop does not automatically make it eligible for newly public self-service creation.
Third-party connectors, upstream social sign-in, customer AI and product-email features are not made available merely by these Terms. Any such feature must actually be enabled and covered by the relevant description, permissions and notice before use.
6. Plans, prices and payment confirmation
When a paid plan is offered, checkout identifies the selected app or apps, price, currency, billing interval, collected tax, total and renewal information before payment confirmation. Maximize and Org Design Studio have separately selected per-app plans; purchasing one does not imply a bundle or access to the other. Product availability and actual features remain distinct from a price or usage limit.
Monthly and annual subscriptions may be offered. Free access follows the applicable product offer; these Terms do not promise a paid-plan trial. Church owners manage the Suite subscription and confirm supported billing actions using the required recent passkey verification.
Paid access follows verified payment and current entitlement state. A checkout return page, an unconfirmed payment or a pending provider response does not itself grant paid access. If a result is uncertain, refresh or contact support before starting another purchase; do not assume a repeated attempt is needed.
7. Automatic renewal, changes and cancellation
A selected monthly or annual subscription renews automatically at the disclosed amount and interval until cancelled. Customers may cancel future renewals at any time through the available owner billing controls or contact support if those controls are unavailable. Cancellation stops future renewal at the confirmed period end, and paid access continues through that paid period. Cancellation does not automatically cancel or forgive an existing invoice or other amount legitimately owed.
Adding a paid app or upgrading takes effect immediately after the required payment is verified, with the applicable prorated charge disclosed before confirmation. Downgrades, removal of a paid app from the subscription and changes between monthly and annual billing take effect at renewal. Removing local app access or deleting an account does not substitute for cancelling billing.
For previously confirmed paid access, a failed renewal payment has a seven-day grace period measured from the verified first failed payment. Repeated attempts do not restart that clock. Grace does not create unpaid new purchases or upgrades. After grace ends, the applicable Free limits apply; this change does not itself erase product data. Unverifiable payment history may require support review.
We will provide at least 30 days' notice before a price increase takes effect at a later renewal, or longer where required by law. Customers may cancel before that renewal. These Terms do not authorize a current price increase or claim that an unimplemented notice workflow already operates.
8. First-payment refund policy
If you contact Carlo@carloorlando.com within 14 days of your first paid subscription payment, you may request a full refund of that first payment. There are no routine refunds on renewals under this voluntary policy. Cancellation stops future billing while access continues through the paid period as described above; a refund request does not itself end that paid-period access.
This policy does not limit refund, cancellation or other rights required by applicable law. Billing errors or disputed outcomes should be reported to support for investigation. A refund request and cancellation are separate actions; support will confirm the status and effective date of each requested action.
9. Account export, deletion and billing remedies
You may use the available account export and verified deletion controls or contact support. If you are the only owner of a church that has other members, its ownership must be resolved before your account deletion can finish.
Unresolved checkout, payment, subscription or plan-change evidence may require verification before app removal, church closure or last-owner deletion can be completed safely. A software payment hold is not, by itself, a legal basis to refuse a privacy request. Contact support to request review of a held action. Deleting an account does not automatically erase church-level payment evidence or every record maintained by a connected app or provider.
The Privacy Notice explains the active-data deletion process, retained security or billing records, app erasure/unlink requests and provider recovery copies. Neither these Terms nor an account-deletion response promises immediate erasure from every connected service.
10. Service description and availability
We aim to operate the service with reasonable care. Maintenance, incidents or circumstances outside our control can interrupt access. We do not promise uninterrupted service, a response-time service-level agreement or a particular ministry or business outcome. Nothing in these Terms removes a protection that applicable law does not permit us to exclude.
11. Individual arbitration and class-action waiver
PLEASE READ THIS SECTION. FOR DISPUTES IT COVERS, YOU AND CARLO ORLANDO LEADERSHIP LLC AGREE TO INDIVIDUAL BINDING ARBITRATION IN PLACE OF A COURT TRIAL, INCLUDING A JURY TRIAL, AND TO BRING CLAIMS INDIVIDUALLY RATHER THAN AS A CLASS ACTION. MANDATORY LEGAL RIGHTS AND EXCEPTIONS ARE PRESERVED.
You and Carlo Orlando Leadership LLC agree to resolve disputes arising from these Terms, the shared account service or subscriptions purchased under these Terms through binding individual arbitration, except where applicable law does not permit a claim or remedy to be subject to arbitration or this waiver. Either party may contact the other through Carlo@carloorlando.com to seek resolution; this invitation to contact support does not shorten a legal deadline or create an additional mandatory waiting period.
No arbitration provider has been selected. The parties may agree on a neutral arbitrator and an appropriate procedure when a dispute arises. If they cannot agree, either party may ask a court with jurisdiction to appoint an arbitrator using an applicable statutory appointment procedure. Any procedure or allocation of arbitration costs must preserve protections required by applicable law. These Terms do not adopt a named provider's rules or fees or require provider enrollment. Any allocation of costs must comply with applicable law.
To the extent permitted by applicable law, neither party will bring or participate in a class proceeding concerning a dispute covered by this section; covered claims will proceed individually. This section does not waive non-waivable rights, prevent a report to a public authority or purport to require arbitration of a claim that law excludes from mandatory arbitration. Courts retain the authority and functions that applicable law requires.
12. Governing law
New Jersey law governs these Terms, subject to protections and rights that applicable law does not permit the parties to waive. This governing-law clause does not override the arbitration provisions in section 11 or a mandatory law that applies to a particular claim. It applies to this account-service agreement; it does not retroactively replace a connected product's separate terms.
13. Liability and monetary limit
Subject to the exceptions below, Carlo Orlando Leadership LLC's total liability to you for monetary damages arising from one event or a related series of events under these Terms will not exceed the greater of (a) US$1,000 or (b) the subscription fees paid by you or on your behalf under these Terms for the services involved in the claim during the 12 months immediately before the first event giving rise to that claim. For a claim concerning your use of a church workspace, fees paid for the relevant services for that workspace count toward this calculation; they are not divided among its members. This limit applies to the combined damages from that event or related series, not separately to each legal claim. It is not a promise of payment or a minimum recovery.
This limit does not apply to our fraud, willful misconduct or gross negligence; death or personal injury caused by us; or liability, damages, fees or other remedies that applicable law does not permit us to limit. It does not reduce refunds owed under section 8, restrict account or privacy remedies, or limit a public authority's powers. This section adds no indemnity obligation, release of claims or exclusion of a category of damages.
14. Changes and contact
Questions about these Terms, an account or a billing result may be sent to Carlo@carloorlando.com. We will identify an effective version by its date and version label. When current acceptance is required for a public or paid transition, we will present the applicable Terms and Privacy links and record deliberate acceptance as described in section 3. A draft revision or software deployment is not itself a customer's acceptance.
